Daily Report Service - Terms of Service

These Terms of Service ("Terms") govern your use of the Daily Report Service ("Service") provided by Xjoin LLC, doing business as AutoRx ("Company," "we," "us," or "our"). By using the Service, you ("User," "you," or "your") agree to be bound by these Terms.

1. Service Description

The Daily Report Service retrieves shop performance metrics from your Tekmetric account using API credentials you provide. We generate automated daily reports containing key performance indicators including, but not limited to: Gross Sales, Repair Order Count, Average RO Value, Gross Profit Percentage, Labor GP%, Parts GP%, Effective Labor Rate, and Sold Hours.

2. Authorization and Credentials

By providing your Tekmetric API credentials, you represent and warrant that:

You have the legal authority to grant access to the Tekmetric account and associated shop data
You are either the shop owner or have explicit authorization from the shop owner to share these credentials
Your use of this Service complies with Tekmetric's Terms of Service
You will maintain the security of your credentials and notify us immediately of any unauthorized access

3. Data Collection

We collect the following types of data through the Service:

Shop Metrics: Financial and operational data from your Tekmetric account including sales figures, repair order statistics, labor metrics, and profitability indicators
Account Information: Your contact information and Tekmetric API credentials necessary to access your data

We reserve the right to collect additional metrics available through the Tekmetric API to enhance the Service. Material changes to data collection will be communicated via email or website notice.

4. Data Retention

Active Data: Your raw shop data is stored for fourteen (14) days from the date of collection. After this period, raw data is automatically and permanently deleted from our systems.

Anonymized Data: We may retain aggregated, de-identified data indefinitely for the purposes described in Section 5.

5. Data Anonymization and Benchmarking

By using the Service, you consent to our anonymization and use of your data for industry benchmarking purposes. Specifically:

We may anonymize your shop data by removing all identifying information including shop name, location, credentials, and any other data that could identify your business
Anonymized data may be aggregated with data from other users to create industry benchmarks and averages
These benchmarks may be used to provide comparative insights (e.g., "Your RO count is 15% above the average of participating shops")
No individual shop data will ever be identifiable in any aggregated reports or benchmarking data
We will never sell or share your identifiable shop data with third parties

6. Data Security

We implement industry-standard security measures to protect your data:

API credentials are encrypted at rest and in transit using AES-256 encryption
Data is hosted on secure AWS infrastructure with appropriate access controls
Access to your data is limited to authorized automated systems necessary to provide the Service
We regularly review and update our security practices

7. Security Breach Notification

In the event of a security breach affecting your data, we will notify you as soon as reasonably practicable after discovering the breach. Notification will be sent via email to the address associated with your account.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We specifically disclaim:

Any warranty regarding the accuracy, completeness, or reliability of data retrieved from Tekmetric
Any warranty that the Service will be uninterrupted, error-free, or secure
Any warranty regarding the suitability of the Service for any particular purpose

Data accuracy depends on the information available in your Tekmetric account. We are not responsible for errors, omissions, or inaccuracies in Tekmetric's data.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
We shall not be liable for any business decisions made based on reports generated by the Service
Our total liability for any claims arising from the Service shall not exceed the fees paid by you in the twelve (12) months preceding the claim

10. Indemnification

You agree to indemnify, defend, and hold harmless Xjoin LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

Your unauthorized sharing or use of Tekmetric credentials
Your breach of Tekmetric's Terms of Service
Your misrepresentation of authority to access shop data
Your violation of these Terms

11. Service Availability

We do not guarantee that the Service will be available at all times. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice. Scheduled maintenance may temporarily affect report delivery.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be communicated via email or by posting the updated Terms on our website. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Termination

Either party may terminate the Service with thirty (30) days written notice. Upon termination:

Your Tekmetric credentials will be permanently deleted from our systems
Your raw shop data will be deleted within fourteen (14) days
Previously anonymized and aggregated data may be retained as described in Section 5

14. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by the laws of the State of Idaho, without regard to conflict of law principles.

Binding Arbitration: Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Canyon County, Idaho.

Small Claims Exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits (under $10,000).

Attorney Fees: Each party shall bear its own attorney fees and costs.
